By accessing or using UpSpoke ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

UpSpoke is a language learning platform that connects users with compatible practice partners for real-time English conversation practice. Our Service includes AI-powered matching, structured learning paths, progress tracking, and feedback systems designed to help users improve their English speaking skills.

3. Beta Program

During the beta phase, you acknowledge that:

  • The Service is provided "as is" and may contain bugs or errors
  • Features may change, be added, or removed without notice
  • Service availability is not guaranteed
  • Beta participants may receive special pricing and benefits as Founding Members
  • Feedback provided may be used to improve the Service

4. User Accounts

4.1 Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. User Conduct

When using UpSpoke, you agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Harass, abuse, or harm other users
  • Share inappropriate, offensive, or harmful content
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use automated systems or bots to access the Service
  • Interfere with or disrupt the Service or servers
  • Collect or harvest user information without consent

6. Intellectual Property

The Service and its original content, features, and functionality are owned by UpSpoke and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7. User Content

You retain ownership of any content you create or share through the Service. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service. This includes using anonymized conversation data to improve our AI matching and feedback systems.

8. Payment Terms

During the beta phase, the Service is provided free of charge. When paid features are introduced, we will provide clear pricing information. Founding Members who join during beta will receive special lifetime discounts as outlined in their membership benefits.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time through your account settings.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE ANY SPECIFIC LEARNING OUTCOMES OR RESULTS FROM USING THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPSPOKE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
